Notice of meetings    <\/h3>\n\r\n        \n\n\r\n                    <ul class=\"one-col-accordion-001__accordion\">\r\n                                    <li class=\"one-col-accordion-001__accordion-item\" data-result>\r\n                        <div class=\"one-col-accordion-001__accordion-button\" data-button>\r\n                            <span class=\"one-col-accordion-001__accordion-button-label\">4.1<\/span>\r\n                            <span class=\"one-col-accordion-001__accordion-button-icon\"><\/span>\r\n                        <\/div>\r\n                        <div class=\"one-col-accordion-001__accordion-answer\">\r\n                            <div class=\"one-col-accordion-001__accordion-answer-inner\">\r\n                                \n    <div class=\"content-001 one-col-accordion-001__accordion-content\">\n        <p>Meetings of the Committee shall be called by the Committee Chairman.<\/p>\n    <\/div>\n\r\n                                                            <\/div>\r\n                        <\/div>\r\n                    <\/li>\r\n                                    <li class=\"one-col-accordion-001__accordion-item\" data-result>\r\n                        <div class=\"one-col-accordion-001__accordion-button\" data-button>\r\n                            <span class=\"one-col-accordion-001__accordion-button-label\">4.2<\/span>\r\n                            <span class=\"one-col-accordion-001__accordion-button-icon\"><\/span>\r\n                        <\/div>\r\n                        <div class=\"one-col-accordion-001__accordion-answer\">\r\n                            <div class=\"one-col-accordion-001__accordion-answer-inner\">\r\n                                \n    <div class=\"content-001 one-col-accordion-001__accordion-content\">\n        <p>Any Committee member may call meetings outside of the normal cycle.<\/p>\n    <\/div>\n\r\n                                                            <\/div>\r\n                        <\/div>\r\n                    <\/li>\r\n                                    <li class=\"one-col-accordion-001__accordion-item\" data-result>\r\n                        <div class=\"one-col-accordion-001__accordion-button\" data-button>\r\n                            <span class=\"one-col-accordion-001__accordion-button-label\">4.3<\/span>\r\n                            <span class=\"one-col-accordion-001__accordion-button-icon\"><\/span>\r\n                        <\/div>\r\n                        <div class=\"one-col-accordion-001__accordion-answer\">\r\n                            <div class=\"one-col-accordion-001__accordion-answer-inner\">\r\n                                \n    <div class=\"content-001 one-col-accordion-001__accordion-content\">\n        <p>Unless otherwise agreed, notice of each meeting confirming the venue, time and date, together with an agenda of items to be discussed, shall be forwarded to each member of the committee, any other person required to attend and all other non-executive directors, no later than two working days before the date of the meeting.<\/p>\n    <\/div>\n\r\n                                                            <\/div>\r\n                        <\/div>\r\n                    <\/li>\r\n                            <\/ul>\r\n        \r\n            <\/div>\r\n<\/section>\r\n\n\n\r\n<section id=\"block_8787d887d9f4cc6d7eb9dea8ec85efde\" class=\"one-col-accordion-001 grey top_none bottom_small\">\r\n    <div class=\"one-col-accordion-001__container container\">\r\n        \n    <h3 class=\"heading-001 heading-001--center one-col-accordion-001__heading\">\n        5. Minutes of meetings    <\/h3>\n\r\n        \n\n\r\n                    <ul class=\"one-col-accordion-001__accordion\">\r\n                                    <li class=\"one-col-accordion-001__accordion-item\" data-result>\r\n                        <div class=\"one-col-accordion-001__accordion-button\" data-button>\r\n                            <span class=\"one-col-accordion-001__accordion-button-label\">5.1<\/span>\r\n                            <span class=\"one-col-accordion-001__accordion-button-icon\"><\/span>\r\n                        <\/div>\r\n                        <div class=\"one-col-accordion-001__accordion-answer\">\r\n                            <div class=\"one-col-accordion-001__accordion-answer-inner\">\r\n                                \n    <div class=\"content-001 one-col-accordion-001__accordion-content\">\n        <p>The Chairman shall minute the proceedings and resolutions of all committee meetings, including the names of those present and in attendance.<\/p>\n    <\/div>\n\r\n                                                            <\/div>\r\n                        <\/div>\r\n                    <\/li>\r\n                                    <li class=\"one-col-accordion-001__accordion-item\" data-result>\r\n                        <div class=\"one-col-accordion-001__accordion-button\" data-button>\r\n                            <span class=\"one-col-accordion-001__accordion-button-label\">5.2<\/span>\r\n                            <span class=\"one-col-accordion-001__accordion-button-icon\"><\/span>\r\n                        <\/div>\r\n                        <div class=\"one-col-accordion-001__accordion-answer\">\r\n                            <div class=\"one-col-accordion-001__accordion-answer-inner\">\r\n                                \n    <div class=\"content-001 one-col-accordion-001__accordion-content\">\n        <p>Draft minutes of committee meetings shall be circulated promptly to all members of the committee. Once approved, minutes should be available for circulation to all other members of the Board.<\/p>\n    <\/div>\n\r\n                                                            <\/div>\r\n                        <\/div>\r\n                    <\/li>\r\n                            <\/ul>\r\n        \r\n            <\/div>\r\n<\/section>\r\n\n\n\r\n<section id=\"block_580f910acc1b14ba9fa09a1231ed9688\" class=\"one-col-accordion-001 grey top_none bottom_small\">\r\n    <div class=\"one-col-accordion-001__container container\">\r\n        \n    <h3 class=\"heading-001 heading-001--center one-col-accordion-001__heading\">\n        6. Duties    <\/h3>\n\r\n        \n\n\r\n                    <ul class=\"one-col-accordion-001__accordion\">\r\n                                    <li class=\"one-col-accordion-001__accordion-item\" data-result>\r\n                        <div class=\"one-col-accordion-001__accordion-button\" data-button>\r\n                            <span class=\"one-col-accordion-001__accordion-button-label\">Duties<\/span>\r\n                            <span class=\"one-col-accordion-001__accordion-button-icon\"><\/span>\r\n                        <\/div>\r\n                        <div class=\"one-col-accordion-001__accordion-answer\">\r\n                            <div class=\"one-col-accordion-001__accordion-answer-inner\">\r\n                                \n    <div class=\"content-001 one-col-accordion-001__accordion-content\">\n        <p>The Committee shall:<\/p>\n<p><strong>6.1<\/strong> regularly review the structure, size and composition (including the skills, knowledge, experience and diversity) of the Board and make recommendations to the Board with regard to any changes.<\/p>\n<p><strong>6.2<\/strong> give full consideration to succession planning for directors and other senior executives in the course of its work, taking into account the challenges and opportunities facing the Company, and the skills and expertise needed on the Board in the future.<\/p>\n<p><strong>6.3<\/strong> keep under review the leadership needs of the organisation, both executive and non-executive, with a view to ensuring the continued ability of the organisation to compete effectively in the marketplace.<\/p>\n<p><strong>6.4<\/strong> keep up to date and fully informed about strategic issues and commercial changes affecting the Company and the market in which it operates<\/p>\n<p><strong>6.5<\/strong> be responsible for identifying and nominating for the approval of the Board, candidates to fill board vacancies as and when they arise.<\/p>\n<p><strong>6.6<\/strong> for the appointment of a Chairman, the committee should prepare a job specification, including the time commitment expected.<\/p>\n<p><strong>6.7<\/strong> ensure that on appointment to the Board, non-executive directors receive a formal letter of appointment setting out clearly what is expected of them in terms of time commitment, committee service and involvement outside Board meetings.<\/p>\n<p><strong>6.8<\/strong> review the results of the Board performance evaluation process that relate to the composition of the Board.<\/p>\n<p><strong>6.9<\/strong> review annually the time required from non-executive directors.<\/p>\n<p><strong>6.10<\/strong> formulate plans for succession for both executive and non-executive directors and in particular for the key roles of Chairman and Chief Executive.<\/p>\n<p><strong>6.11<\/strong> identify suitable candidates for the role of Senior Independent Director.<\/p>\n<p><strong>6.12<\/strong> consider membership of the Audit and Remuneration committees, and any other Board committees as appropriate, in consultation with the Chairman of those Committees.<\/p>\n<p><strong>6.13<\/strong> the re-appointment of any non-executive director at the conclusion of their specified term of office having given due regard to their performance and ability to continue to contribute to the board in the light of knowledge, skills and experience required.<\/p>\n<p><strong>6.14<\/strong> the re-election by shareholders of Directors, having due regard to their performance and ability to continue to contribute to the Board in the light of the knowledge, skills and experience required and the need for progressive refreshing of the Board.<\/p>\n<p><strong>6.15<\/strong> any matters relating to the continuation in office of any Director at any time including the suspension or termination of service of an executive director as an employee of the company subject to the provisions of the law and their service contract.<\/p>\n<p><strong>6.16<\/strong> the appointment of any Director to executive or other office.<\/p>\n    <\/div>\n\r\n                                                            <\/div>\r\n                        <\/div>\r\n                    <\/li>\r\n                            <\/ul>\r\n        \r\n            <\/div>\r\n<\/section>\r\n\n\n\r\n<section id=\"block_8dc56ab2bdf8e2cd02a789378f433211\" class=\"one-col-accordion-001 grey top_none bottom_small\">\r\n    <div class=\"one-col-accordion-001__container container\">\r\n        \n    <h3 class=\"heading-001 heading-001--center one-col-accordion-001__heading\">\n        7.
