The Board comprises two Executive and four Non-executive Directors.<\/p>\n<p>&nbsp;<\/p>\n<p style=\"text-align: center;\">Robin Williams, the Non-executive Chairman, is responsible for the running of the Board and James Roper, the Chief Executive, has executive responsibility for running the Company&#8217;s business and implementing Group strategy. The Board meets formally at least ten times each year. It is responsible for overall Group strategy; approval of major capital expenditure projects; approval of the annual and interim results; annual budgets; dividend policy; and Board structure. Since joining Churchill in 2001, he has held a number of senior leadership positions across the business and has developed extensive expertise in commercial strategy, sales and marketing. A Board member since 2015, James has been instrumental in driving the Group\u2019s growth and long-term development. Michael has held senior financial roles at Surface Transforms plc, Bentley Motors, Aquila Truck Centres and MAN Truck and Bus UK. Martin has been the Chair of the Audit Committee at Stelrad plc since 2021 and the Chair of the Audit Committee at Topps Tiles since October 2024\u00a0.
